1. Scope of Agreement

These Terms of Service govern the access, licensing, and professional services provided by optimAIz Technologies Private Limited ("optimAIz") to corporate and enterprise clients ("Client") regarding custom software development, AI automation, digital marketing, and CPaaS telecommunications.

2. Intellectual Property (IP) Transfer

Unless explicitly agreed otherwise in a customized Statement of Work (SOW), upon full settlement of contracted milestone invoices, 100% of bespoke source code, database architectures, and customized proprietary designs developed specifically for the Client are transferred exclusively to the Client. optimAIz retains no rights to restrict the Client's internal usage or charge per-seat license fees.

3. CPaaS Messaging & TRAI Compliance

Client agrees that all messages routed through optimAIz's CPaaS gateways (SMS, WhatsApp Business API, RCS, Email) comply strictly with applicable Indian telecom laws, TRAI regulations, DLT registration requirements, and Meta Business Acceptable Use Policies. Spam, unauthorized marketing, and unsolicited promotional broadcasts are strictly prohibited and subject to immediate gateway suspension.

4. Service Level Agreements (SLA) & Uptime

optimAIz provides carrier-grade telecom gateways backed by a target 99.98% platform availability SLA. Redundant multi-carrier failover routing is active across major Tier-1 Indian operators.

5. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Pune, Maharashtra.
